BYLAWS

for the Charlie Elliot Chapter of

The ATLANTA ASTRONOMY CLUB, Inc.

ARTICLE I. NAME

Section 1. The name of this organization shall be known as The Atlanta Astronomy Club/Charlie Elliot Chapter and it shall operate in no other style or name. The Atlanta Astronomy Club/Charlie Elliot Chapter shall function as a part of the Atlanta Astronomy Club, Inc., maintaining its autonomy at the direction of the Atlanta Astronomy Club, Inc., and functioning autonomously due to the geographic location of its membership. The Atlanta Astronomy Club, Inc. shall retain the right to define the geographic region of membership to The Atlanta Astronomy Club/Charlie Elliot Chapter.

ARTICLE II: PURPOSES

Section 1. The Atlanta Astronomy Club/Charlie Elliot Chapter, shall be a non-profit organization.

Section 2. The purposes of The Atlanta Astronomy Club/Charlie Elliot Chapter shall be educational, literary, scientific, and especially to promote the public knowledge of, and interest in astronomy.

ARTICLE III: MEETINGS

Section 1. Meetings shall be held at a time and place determined by the Chapter Director. Scheduled meetings are to be announced in The Atlanta Astronomy Club, Inc newsletter, and elsewhere, as deemed needed. Meetings shall be open to the public.

Section 2. Regularly scheduled observing events shall be held, and shall be open to the public.

Section 3. The presence of 4 registered Chapter members shall constitute a quorum. This will be reviewed by the Boards of Directors of The Atlanta Astronomy Club and The Atlanta Astronomy Club/Charlie Elliot Chapter six (6) months from the date of inception of the Chapter.

ARTICLE IV: MEMBERSHIP

Section 1. Membership is open to anyone upon payment of dues to The Atlanta Astronomy Club without regard to age, race, gender, nationality, or creed.

Section 2. The classes of membership shall be set by The Atlanta Astronomy Club, Inc.

 

ARTICLE V: DUES

Section 1. Dues shall be set by the Board of Directors of the Atlanta Astronomy Club.

 

ARTICLE VI: OFFICERS

Section 1. Officers will serve a term of one year.

Section 2. The elected officers of The Atlanta Astronomy Club/Charlie Elliot Chapter shall be:

Chapter Director

Observing Supervisor

Recording Secretary

Section 3. A nominating committee appointed by the Chapter Director shall present a slate of nominees at the May meeting. All nominees must agree to serve if elected. Names may be added to the slate from the floor if such persons agree to serve if elected.

Nominees must be registered members of The Atlanta Astronomy Club/Charlie Elliot Chapter in good standing. Elections shall be held in May. Votes may be by a show of hands. The nominees shall be elected to office by a majority vote of the members present.. The Officers will assume their duties in June. Any vacancy in mid-term shall be filled by the Chapter Director; or in the case of the Director’s absence, the Observing Supervisor will take the Director’s position and appoint an Observing Supervisor to serve the balance of the term.

 

ARTICLE VII: DUTIES OF OFFICERS

Section 1.  The Director shall preside at The Atlanta Astronomy Club/Charlie Elliot Chapter’s General Meetings. The Director shall be responsible for the administration of Chapter affairs. He shall establish all committees and shall appoint the chairmen of such committees other than those committees established by the Observing Supervisor. The Director shall be the ex-officio member of all Chapter committees. The Director shall be ex-officio member of all Chapter committees. The Chapter Director shall have the responsibility of arranging for special speakers at the Chapter meetings. He shall appoint a ‘presiding officer’ to serve in his absence at general membership or other Chapter meetings. The Director shall assure The Atlanta Astronomy Club is informed of Chapter activities, seeing to it that updates are provided to the The Atlanta Astronomy Club for inclusion in the clubs newsletter and other sources deemed necessary. The Director shall function as a liaison officer with the Administrative Staff of the Charlie Elliott Wildlife Center. The Director will act as The Atlanta Astronomy Club liason, attending the Board meetings; or may appoint another Chapter member to serve in this position in his absence

Section 2. The Observing Supervisor shall preside at meetings if the President or a delegated presiding officer is not present. He shall be in charge of planning observing sessions. He may act alone or establish committee(s) to aid him.

Section 3. The Recording Secretary shall be record and retain the minutes of the meetings and handle all Chapter correspondence. The Recording Secretary shall assist the Director in preparing notification of Chapter events to the The Atlanta Astronomy Club Corresponding Secretary or other individual(s) responsible for posting notices to the The Atlanta Astronomy Club’s newsletter.

ARTICLE IIX: AMENDMENTS

Section 1. Club members in good standing may propose amendments to these bylaws. The membership must be notified by mail at least ten days prior to a vote to amend these bylaws. Amendments will be adopted upon a majority vote of Chapter members present, provided not less than ten percent of Chapter membership is present.

 

ARTICLE IX: RULES AND REGULATIONS

Section 1. Votes of any kind on any matter must be made at a general or called meeting of the membership, provided not less than ten percent of Chapter membership is present.

Section 2. The current edition of Robert's Rules of Order shall govern Chapter proceedings except where in conflict with the charter or Bylaws of The Atlanta Astronomy Club, Inc.
